We reserve the right to modify these terms at any time. Updated terms will be posted on our website and take effect immediately upon posting.
2. Scope of Services
Find Your Employees provides staffing and outsourced customer support services including:
- Live Chat Support: Real-time customer assistance via chat platforms
- Email Support: Professional email response and resolution services
- Phone Support: Voice-based customer service and technical support
- Returns & Refunds: Processing returns, exchanges, and refund requests
- Order Management: Handling order inquiries, modifications, and tracking
- Multilingual Support: Customer service in multiple languages
Service Exclusions
Our services do not include:
- Technical development or website modifications
- Legal advice or representation
- Financial advice or investment guidance
- Services outside our defined support channels
3. Service Level Agreements (SLAs)
Response Time SLAs
- Live Chat: First response within 2 minutes during business hours
- Email: First response within 2 hours during business hours
- Phone: Answer within 3 rings during business hours
Resolution Time SLAs
- Simple Inquiries: Resolved within 24 hours
- Complex Issues: Resolved within 72 hours
- Escalated Matters: Initial response within 4 hours
Quality Standards
- Minimum 90% customer satisfaction score (CSAT)
- 95% accuracy in information provided
- Professional communication standards maintained
4. Client Responsibilities
As our client, you agree to:
- Provide accurate and complete information about your products/services
- Supply necessary access to systems, tools, and documentation
- Maintain current contact information and emergency procedures
- Provide timely feedback and approvals when requested
- Pay all fees according to the agreed payment terms
- Comply with all applicable laws and regulations
- Notify us promptly of any changes to policies or procedures
5. Pricing and Payment
Fees and Billing
- Fees are based on the service plan selected and usage metrics
- Invoices are sent monthly in advance for recurring services
- Payment is due within 30 days of invoice date
- Late payments may incur a 1.5% monthly service charge
Price Changes
We reserve the right to modify our pricing with 60 days' written notice. Price increases will not affect existing contracts until renewal.
Refunds
Refunds are provided only in cases of material service failures as defined in our SLA. Refunds are calculated pro-rata based on the service period affected.
6. Confidentiality
We maintain strict confidentiality regarding:
- Your customer data and personal information
- Business processes and proprietary information
- Trade secrets and competitive information
- Financial and operational data
Our confidentiality obligations survive termination of services and remain in effect indefinitely.
7. Intellectual Property
- You retain ownership of your trademarks, content, and customer data
- We retain ownership of our methodologies, processes, and proprietary tools
- Neither party may use the other's intellectual property without permission
- We may use aggregated, anonymized data for service improvement
8. Limitations of Liability
Limitation of Damages
In no event shall Find Your Employees' total liability exceed the fees paid by you in the 12 months preceding the claim. We shall not be liable for:
- Indirect, incidental, or consequential damages
- Lost profits, revenue, or business opportunities
- Data loss or corruption not caused by our negligence
- Third-party actions or omissions
Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, or technical failures of third-party systems.
9. Termination
Termination for Convenience
Either party may terminate services with 30 days' written notice. You remain responsible for fees incurred through the termination date.
Termination for Cause
Either party may terminate immediately for:
- Material breach of contract not cured within 15 days
- Non-payment of fees beyond 60 days
- Insolvency or bankruptcy proceedings
- Violation of confidentiality obligations
Post-Termination
Upon termination, we will:
- Cease providing services on the effective date
- Return or securely destroy your confidential information
- Provide transition assistance for up to 30 days (additional fees may apply)
10. General Provisions
Governing Law
These terms are governed by the laws of [State/Province], without regard to conflict of law principles.
Dispute Resolution
Disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
Entire Agreement
